Terms and Conditions
1. Scope of Services and Delivery

Phorvi Real Estate Media is a full-service real estate media company. We offer a
comprehensive range of services, including but not limited to photography, videography,
drone media, 3D virtual services, virtual staging, virtual twilight, and more. All deliverables are
typically provided by the next business day unless otherwise specified.

2. Payment Terms
Payment is due upon final delivery. In some cases, a deposit may be required. Minor edits are
included; major edits or additional services will incur extra fees. Invoices not paid within 15
days may be subject to a late fee of $25 or 1.5% per month, whichever is greater.

3. Package Licensing Condition
All services are part of a single licensed package. If any portion of the invoice is unpaid,
including add-ons, the entire license for all images is not granted.

4. Client Responsibilities
Clients must ensure the property is photo-ready. While we handle minor adjustments, we do
not move furniture or perform extensive staging. If the property is not ready and requires a
return visit, an additional fee may apply. Phorvi Real Estate Media provides MLS-ready
versions and high-resolution versions of media. It remains the client’s responsibility to ensure
that all media complies with their specific MLS or real estate board guidelines.

5. Cancellation and No-Show Policy
Cancellations require 10 hours’ notice. This allows a two-hour window after our reminder for
clients to cancel or reschedule. No-shows or last-minute cancellations may incur a fee and
possible travel charges.

6. Health and Safety Rescheduling
We reserve the right to reschedule if illness or any safety concerns arise. If the photographer
arrives and finds someone visibly ill on the property despite prior assurances, or if the
photographer feels unsafe for any reason, they have the right to leave. In such cases, the
shoot will be rescheduled and an additional travel fee may apply due to misrepresentation of
health or safety conditions.

7. Drone Media Authorization
All drone operations are subject to FAA regulations. If authorization is denied, we are not
responsible for being unable to provide drone media. Complimentary drone photos are only
provided at the time of the scheduled shoot; if a return visit is needed, standard fees will apply.

8. Weather Delays
Drone and twilight shoots are subject to weather conditions. If conditions are unsafe or
unsuitable, the shoot will be rescheduled at no additional cost to the client.

9. Image Storage and Access
Final images are available for one year from the shoot date. Once media has been delivered
electronically, it is the client’s responsibility to download and back up their files. Phorvi Real
Estate Media is not responsible for lost or deleted files beyond the stated storage period.

10. Ownership, Licensing, and Usage Rights
All photographs, videos, and media created by Phorvi Real Estate Media are the intellectual
property of Phorvi Real Estate Media. We retain full copyright ownership of all work produced.
Upon full payment, clients are granted a non-exclusive, non-transferable license to use the
media for real estate marketing and related promotional purposes. This license does not
permit resale, transfer, or use beyond the scope of the original agreement without written
permission. Clients may make edits, alterations, or modifications to media for their own
marketing purposes. However, Phorvi Real Estate Media is not responsible for any damages,
misrepresentations, or compliance issues that may result from client-made alterations. For
major productions or large-scale media projects, credit to Phorvi Real Estate Media is
required.

11. Marketing Rights
Phorvi Real Estate Media retains the right to use any media created for clients in its portfolio,
website, social media, and marketing materials, unless otherwise agreed in writing.

12. Limitation of Liability
Our liability is limited to the amount paid for services. We are not liable for indirect or
consequential damages.

13. Indemnification
The client agrees to indemnify, defend, and hold harmless Phorvi Real Estate Media, its
employees, and contractors from any claims, liabilities, damages, or expenses (including
attorney’s fees) arising out of the client’s misuse of the media, violation of laws or regulations
(including FAA regulations), or breach of these Terms.

14. Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to its
conflict-of-law principles. The parties agree that the state and federal courts located in Los
Angeles County, California shall have exclusive jurisdiction and venue over any disputearising out of or relating to these Terms or the services provided, and the parties consent to
personal jurisdiction in such courts.

15. Dispute Resolution (Mediation/Arbitration)
Before filing any lawsuit, the parties agree to first attempt to resolve any dispute through
good-faith mediation. If mediation is unsuccessful, any unresolved dispute shall be submitted
to binding arbitration in Los Angeles County, California, in accordance with the rules of the
American Arbitration Association. Judgment on the arbitration award may be entered in any
court of competent jurisdiction.

16. Collections and Attorney’s Fees
In the event of non-payment, Phorvi Real Estate Media reserves the right to pursue all
available remedies, including collections. The client shall be responsible for all reasonable
costs of collection, including attorney’s fees and court costs, incurred by Phorvi Real Estate
Media in connection with enforcing these Terms.

17. Refunds Policy
​
All sales are final once digital media has been delivered. Because electronic files can be
saved and duplicated, refunds are not provided after delivery. Refunds may only be
considered in cases where Phorvi Real Estate Media fails to deliver the agreed-upon services.

18. Force Majeure
Phorvi Real Estate Media shall not be liable for any delay or failure to perform its obligations
due to events beyond its reasonable control, including but not limited to natural disasters,
extreme weather, power outages, equipment failure, internet disruptions, government actions,
labor disputes, illness, or FAA flight restrictions. In such cases, services will be rescheduled to
the earliest available date.

19. Severability
​
If any provision of these Terms is found to be invalid or unenforceable, the remaining
provisions shall continue in full force and effect.

​
20. Entire Agreement
​
These Terms and Conditions constitute the entire agreement between Phorvi Real Estate
Media and the client. They supersede any prior discussions, agreements, or understandings,
whether written or oral, relating to the services provided. Any modifications to these Terms
must be made in writing and signed by both parties.
